These Terms and Conditions (“Terms”) govern your use of https://samedayestimating.com (the “Site”) and the estimating, material takeoff and related services (“Services”) provided by SameDay Estimating (“we”, “us”, “our”). By using the Site, requesting a quote or ordering Services, you agree to these Terms. If you do not agree, please do not use the Site or Services.

1. Our Services

We provide construction estimating, quantity and material takeoffs, and related cost-estimating support for trades including general construction, framing, drywall, electrical, plumbing, HVAC, mechanical and MEP work. Deliverables are prepared from the plans, specifications and information you provide.

2. Quotes, Orders and Scope

A quote is an estimate of our fees based on the documents and scope you send. It is valid for the period stated on the quote, or 30 days if none is stated.
An order is accepted when we confirm it in writing (including by email) or begin work after you approve the quote.
If plans, addenda or scope change after the order is placed, we may revise the price and delivery time. We will tell you before doing extra work.
Turnaround times are targets and not guarantees. They depend on project size, complexity and the completeness and quality of the documents provided.

3. Your Responsibilities

Provide complete, legible and current plans, specifications and addenda, and answer our questions promptly.
Make sure you have the right to share the documents you send us.
Review the deliverable on receipt and tell us about any errors or omissions as soon as possible.
Use the deliverable as one input to your own professional judgment before bidding or purchasing.

4. Fees and Payment

Fees are stated in U.S. dollars unless we say otherwise. Taxes, if any, are your responsibility.
Payment is due according to the invoice terms. Unless agreed otherwise, new customers may be asked to pay before delivery.
Payments may be made through the methods listed on the invoice, including card payments handled by our third-party payment processor.
Late payments may result in a pause on active work and, where permitted by law, a reasonable late fee on overdue balances.
Discounts and promotions (for example, “Affordable Estimates”) apply only as described when offered and cannot be combined unless stated.

5. Revisions, Cancellations and Refunds

Minor corrections of errors on our side are made at no charge. Revisions that result from changes to the plans or scope may be billed.
You may cancel an order before work begins for a full refund. Once work has started, you are responsible for the portion completed.
Because estimates are custom work delivered digitally, completed deliverables are generally non-refundable. If you are not satisfied, contact us within 7 days of delivery and we will work in good faith to fix the issue.

6. Accuracy and No Guarantee of Bid Results

We work to deliver accurate estimates and takeoffs, and we aim for a high level of accuracy. However, estimates are professional opinions based on the information provided, and actual costs depend on market prices, labor, site conditions, change orders and other factors outside our control. Any accuracy figure we mention is a target, not a warranty. We do not guarantee that you will win a bid, that a project will be profitable or that quantities, prices or costs will match final results. You are responsible for your final bid and purchasing decisions.

7. Not Engineering or Legal Advice

Our deliverables are estimating and takeoff services. They are not engineering, architectural, legal, financial or code-compliance advice, and they do not replace review by a licensed professional where required.

8. Intellectual Property

You keep ownership of the plans and documents you provide.
Once you have paid in full, you may use the delivered estimate and takeoff for the project it was prepared for, including sharing it with your team, clients and subcontractors.
We keep ownership of the Site, its design, text, graphics, logos, templates and methods. You may not copy, resell or republish them without our written permission.
Our sample files are provided for illustration only.

9. Confidentiality

We treat your project files and estimates as confidential and use them only to perform the Services, as described in our Privacy Policy. We may keep a record of the work for our business and legal purposes.

10. Acceptable Use of the Site

You agree not to misuse the Site. This includes attempting to gain unauthorized access, introducing viruses or harmful code, scraping the Site at a harmful rate, sending spam through our forms, uploading unlawful or infringing material, or using the Site in a way that harms us or others.

11. Disclaimer of Warranties

The Site and Services are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Site will be uninterrupted or error-free.

12. Limitation of Liability

To the fullest extent permitted by law, SameDay Estimating and its owners, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost bids, lost contracts or cost overruns, arising from your use of the Site or Services. Our total liability for any claim related to the Services will not exceed the amount you paid us for the specific Services that gave rise to the claim.

13. Indemnification

You agree to defend and hold harmless SameDay Estimating and its owners, employees and contractors from claims, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or your use of the deliverables in your bids and projects.

14. Third-Party Services and Links

The Site may use or link to third-party services such as payment processors, analytics and social media. We are not responsible for their content, availability or practices, and your use of them is subject to their own terms.

15. Communications

By giving us your email address or phone number, you agree that we may contact you about your inquiry, orders and invoices. You may opt out of marketing messages at any time, as described in our Privacy Policy.

16. Termination

We may suspend or end your access to the Site or Services at any time if you breach these Terms or misuse the Site. Sections that by their nature should survive termination (including payment obligations, intellectual property, disclaimers, limitation of liability and indemnification) will continue to apply.

17. Governing Law and Disputes

These Terms are governed by the laws of the United States and the State of California, without regard to conflict-of-law rules. We encourage you to contact us first so we can try to resolve any dispute informally. If it cannot be resolved informally, disputes will be handled in the state or federal courts located in California, and you consent to their jurisdiction, unless applicable law requires otherwise.

18. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date shows the latest revision. Changes apply to the Site from the date they are posted and to new orders placed after that date. Continued use of the Site means you accept the updated Terms.

19. General

These Terms, together with our Privacy Policy and any written quote or order confirmation, are the entire agreement between you and us about the Services. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver of it. You may not assign these Terms without our consent.
